Please read these Terms of Service carefully before using TradesPath. By accessing or using our platform, you agree to be bound by these terms.

These Terms of Service ("Terms") govern your access to and use of the TradesPath platform, website (tradespath.net), and related services (collectively, the "Platform") operated by TradesPath, ("TradesPath," "we," "our," or "us"), located in Austin, Texas.

By registering for a seminar, applying as a provider, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform. These Terms apply to all users including attendees, providers, and visitors.

1. Definitions

"Platform" means the TradesPath website, payment system, and all related services.
"Provider" means a professional who applies to and is approved by TradesPath to host live seminars on the Platform.
"Attendee" means any individual who registers for and attends a live seminar or purchases a recorded seminar through the Platform.
"Seminar" means a live, interactive video session hosted by a Provider through the Platform.
"Recording" means a video recording of a Seminar made available for purchase through the Platform's download catalog.
"Content" means any information, materials, or media shared by Providers during Seminars.

2. Eligibility

TradesPath welcomes users of all ages who are exploring career paths, including young people considering trades and vocational careers.

Users under the age of 13 must have verifiable parental or guardian consent to register for seminars or create an account.
Users between the ages of 13 and 17 are welcome to use the Platform. We encourage parental awareness and recommend families explore TradesPath together.
Users 18 and older may use the Platform independently.
Providers must be 18 years of age or older to apply and host seminars.

By using the Platform, you represent that you have the legal capacity to enter into these Terms, or that you have obtained the necessary parental or guardian consent to do so.

3. Provider Terms

Providers are subject to additional terms governing their use of the Platform as seminar hosts.

3.1 Application and Approval

To become a Provider, you must submit an application through the TradesPath provider application form. Approval is at the sole discretion of TradesPath. We reserve the right to approve or decline any application without explanation. Approved Providers will receive an onboarding email with instructions for connecting their Stripe account.

3.2 Provider Tiers

TradesPath offers the following provider tiers:

Founding Pro — available during the pre-launch recruitment period. Free for 12 months from approval date. Includes all Pro benefits. Available for a limited time at TradesPath's discretion.
Pro — $9.99 per month, billed monthly, cancel anytime. Full platform benefits including institutional contract pool eligibility.
Free — no monthly cost. Limited benefits. Not eligible for the institutional contract pool.

TradesPath reserves the right to modify tier pricing and benefits with 30 days notice to active providers.

3.3 Revenue Share

Providers receive the following revenue share on all transactions:

Live seminar tickets: 92% of ticket revenue, paid automatically via Stripe after each seminar.
Recording downloads — Pro and Founding Pro: 50% of each download sale.
Recording downloads — Free tier: 20% of each download sale.
Institutional contract pool: 50% of the monthly pool, distributed proportionally by seminars hosted. Requires Pro or Founding Pro tier and a minimum of 2 seminars per month.

All payouts are processed automatically through Stripe Connect. Providers are responsible for any applicable taxes on income received through the Platform.

3.4 Recording and Content Consent

By becoming a Provider, you acknowledge and agree that:

All seminars hosted on TradesPath will be recorded automatically.
Recordings may be made available for purchase in the TradesPath download catalog following the live event.
Revenue from recording sales is distributed according to your provider tier as outlined in Section 3.3.
TradesPath may use brief excerpts of recordings for promotional and marketing purposes.
You retain ownership of your original content but grant TradesPath a non-exclusive license to store, distribute, and sell recordings through the Platform.

3.5 Provider Conduct

Providers agree to:

Represent their professional experience and qualifications accurately and honestly.
Deliver seminars that are professional, informative, and appropriate for a general career-curious audience.
Not share false, misleading, harmful, discriminatory, or illegal information during seminars.
Not use the Platform to promote competing seminar platforms or solicit attendees to contact them outside of TradesPath.
Treat all attendees with professionalism and respect.

TradesPath reserves the right to remove any Provider from the Platform at any time for conduct that violates these Terms or reflects negatively on the TradesPath brand.

4. Attendee Terms

4.1 Seminar Registration and Payment

By registering for a seminar, you agree to pay the listed ticket price through the TradesPath payment system powered by Stripe. All prices are in US dollars. Payment is processed at the time of registration.

4.2 Recording Consent

By registering for and attending a live seminar on TradesPath, you acknowledge and consent to being recorded. Recordings of seminars — including your participation, questions, and comments — may be made available for purchase in the TradesPath download catalog following the event.

4.3 Refund Policy

Full refund if a seminar is cancelled by the Provider or TradesPath.
No refund if you are unable to attend a seminar you registered for.
No refund on recording download purchases once access has been provided.
In exceptional circumstances, refund requests may be reviewed at TradesPath's discretion by contacting bryan@tradespath.net.

4.4 Recording Download Access

When you purchase a recording download, you receive a secure link to access the recording. This link is for your personal use only. You may not share, distribute, resell, or make the recording publicly available. Access is provided through Google Drive and is subject to the continued availability of that service.

4.5 Attendee Conduct

Attendees agree to:

Participate in seminars respectfully and professionally.
Not record, screenshot, or reproduce seminar content without explicit written permission from the Provider and TradesPath.
Not disrupt seminars or engage in harassment of Providers or other attendees.
Not share access links for recordings with unauthorized individuals.

5. Payments and Stripe

All payments on the TradesPath Platform are processed by Stripe, a third-party payment processor. By making a payment through TradesPath, you agree to Stripe's Terms of Service and Privacy Policy available at stripe.com.

TradesPath does not store, process, or have access to your credit card or bank account information. All payment data is handled directly by Stripe.

Provider payouts are made through Stripe Connect Express. Providers are responsible for completing Stripe's identity verification requirements before receiving payouts. TradesPath is not responsible for delays caused by incomplete Stripe verification.

TradesPath charges an application fee on all transactions as part of its revenue share model. This fee is deducted automatically at the time of each transaction.

6. Intellectual Property

6.1 Provider Content

Providers retain ownership of the original content they share during seminars. By hosting a seminar on TradesPath, Providers grant TradesPath a non-exclusive, worldwide, royalty-free license to record, store, distribute, and sell the seminar recording through the Platform in accordance with the Provider's revenue share agreement.

6.2 TradesPath Platform

All TradesPath branding, website design, software, and platform functionality are the intellectual property of TradesPath, LLC. You may not copy, reproduce, or create derivative works based on TradesPath's platform or branding without written permission.

6.3 Prohibited Use

You may not:

Copy, reproduce, or redistribute seminar recordings without authorization.
Use TradesPath content for commercial purposes without written permission.
Reverse engineer or attempt to extract source code from the TradesPath platform.
Use automated tools to scrape or collect data from the Platform.

7. Prohibited Conduct

The following conduct is strictly prohibited on the TradesPath Platform:

Providing false or misleading information in applications, profiles, or seminars.
Harassing, threatening, or discriminating against any user, Provider, or TradesPath staff.
Sharing harmful, illegal, obscene, or discriminatory content during seminars.
Attempting to circumvent TradesPath's payment system or revenue share model.
Creating multiple accounts to evade a suspension or ban.
Using the Platform to solicit attendees for services outside of TradesPath.
Violating any applicable local, state, or federal laws while using the Platform.

TradesPath reserves the right to suspend or permanently ban any user who violates these prohibited conduct rules, with or without notice.

8. Disclaimers

TradesPath is a marketplace platform that connects Providers and Attendees. We do not verify the professional credentials of Providers beyond our application review process. Attendees are responsible for evaluating the relevance and accuracy of seminar content to their own career decisions.

TradesPath does not guarantee:

The accuracy, completeness, or usefulness of any seminar content.
That seminars will result in specific career outcomes for attendees.
Continuous, uninterrupted access to the Platform.
That Provider information is current, accurate, or verified beyond our initial review.

The TradesPath Platform is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.

9. Limitation of Liability

To the fullest extent permitted by applicable law, TradesPath, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

Loss of income or revenue.
Loss of data or information.
Career decisions made based on seminar content.
Technical failures, service interruptions, or platform downtime.

In no event shall TradesPath's total liability to you exceed the amount you paid to TradesPath in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TradesPath, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

Your use of the Platform.
Your violation of these Terms.
Content you share during seminars.
Your violation of any third-party rights.

11. Termination

TradesPath reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include but are not limited to violation of these Terms, fraudulent activity, or conduct harmful to other users or the Platform.

Upon termination:

Your access to the Platform will be revoked immediately.
Any pending payouts owed to Providers will be processed through Stripe in accordance with the normal payout schedule.
Provider recordings may remain in the download catalog at TradesPath's discretion unless the Provider requests removal.
These Terms will continue to apply to any prior use of the Platform.

You may terminate your use of the Platform at any time by contacting bryan@tradespath.net. Provider subscriptions may be cancelled at any time through your Stripe account settings.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved informally by contacting TradesPath at bryan@tradespath.net. If informal resolution is not possible, disputes shall be resolved through binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to a jury trial or class action lawsuit in connection with any dispute arising from these Terms or your use of the Platform.

13. Changes to These Terms

TradesPath reserves the right to update or modify these Terms at any time. When we make material changes, we will notify you by updating the effective date at the top of this document and, where appropriate, by sending an email notification.

Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, please stop using the Platform and contact us to close your account.

14. Entire Agreement

These Terms, together with our Privacy Policy available at tradespath.net, constitute the entire agreement between you and TradesPath regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
